The Business Community Contributed Insights on the Law of Commerce 

On 6 March 2026, EuroCham’s Legal Sector Committee members attended the Ministry of Industry and Trade’s (MOIT) Consultation Conference on the draft law amending and supplementing provisions of the Law on Commerce, Law on Competition, Law on Foreign Trade Management, and Law on Protection of Consumers Rights. The meeting also welcomed representatives from the National Competition Commission under the Ministry of Industry and Trade and other business representatives.  

The challenge lies in law enforcement

Participants focused on the necessity and scope of proposed amendments in the policy dossier, particularly those related to digital platforms and competition enforcement. Several experts questioned the need to amend the Competition Law to regulate digital platforms. Mr. Minh Đức from the Vietnam Chamber of Commerce and Industry (VCCI) emphasised that Vietnam’s Competition Law is generally well-designed and that current limitations lie mainly in enforcement rather than in the legal framework itself. He also noted that international approaches, such as the EU’s Digital Markets Act, are still being evaluated and should be studied carefully before adoption. Similar views were expressed by representatives from law firms and industry, who highlighted the risk of regulatory overlap with existing legislation, including e-commerce regulations. 

Legal clarity emphasised 

Participants also raised technical concerns regarding legal clarity and implementation. They covered the consultation timeline for relevant authorities, the proposed extension of administrative sanction limitation periods, and the need for clearer definitions in areas such as control in economic concentration, digital platform metrics, and information obligations. 
 
Industry representatives from e-commerce platforms stressed the importance of considering the specific characteristics of digital markets, such as fluctuating active users and multi-platform selling behaviour. The Ministry of Industry and Trade acknowledged the feedback and confirmed it would further study international experiences and refine the draft to ensure consistency and practical applicability.
